How to reinstate a Wyoming Limited Liability Company:

You will need to go to the Wyoming Secretary of State Website, under the Business tab click on Reinstatements. The link may be found below. You enter your business identification number and it will generate the forms required to reinstate your company. Print them out and submit the completed forms in duplicate to the Secretary of State along with all fees. The forms will be Limited Liability Company Application for Certificate of Reinstatement and all back Annual Report forms. If you were involuntarily dissolved for failure to maintain a registered agent, you will also need the Statement of Change by Entity form and a Consent to Appointment by Registered Agent form.

How much will it cost to revive a Wyoming LLC?

To revive your Limited Liability Company in Wyoming depends on the reason for dissolution. There is a $50 reinstatement fee required for failure to file annual reports. There is a $300 reinstatement fee required for failure to maintain a registered agent. Any delinquent fees and taxes are also required to be paid as part of reinstatement. Each missed annual report will cost the normal fee, which is a minimum of $50.  After two years, you would have to start over with the new Wyoming LLC filing fee.

How long does it take the state to process the filing?

It will take approximately one week to process your reinstatement application.

You will receive a file stamped Certificate of Reinstatement by mail.

How long does your Wyoming LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Wyoming LLC?

A Wyoming entity administratively dissolved may apply to the Secretary of State's Office for reinstatement within two years after the dissolution date. After two years, you have to start over as a new entity.

Can you change your Wyoming registered agent at the same time on the Wyoming reinstatement?

No amendments are allowed on the reinstatement. You will need to file a Statement of Change form.

Can you change your principal address at the same time on the Wyoming reinstatement form?

No, file an Update Form to change your principal business address with the Wyoming Secretary of State.

Can you change your members and/or managers at the same time on the Wyoming reinstatement form?

No, you would file an Amendment to your Articles to change your members and/or managers.

How many annual reports can you miss before you can’t revive your Wyoming LLC?

You can miss two annual reports before revival is no longer available. After two years, you would have to start over with new Articles of Organization.
