How to resign as resident agent in Michigan:

To resign as a Michigan resident agent, provide the completed Form 521, Resignation of Resident Agent to the Michigan Department of Licensing and Regulatory Affairs (LARA). The form must be signed by the resident agent. Use of LARA forms is optional. If you choose to draft your own documents, it is important to make sure they have all the required information.

Submit one original Resignation of Resident Agent by mail or walk in. Filing fees may be paid by mailing in the form with a check or money order. If you walk documents into the LARA office, you can also pay by VISA or MasterCard.

Do you have to notify the Michigan entity you’re serving as resident agent for before you resign or after?

To resign as the resident agent of a domestic or foreign business, you just send written notice of the resignation the Department of Licensing and Regulatory Affairs and the
President or vice president of a corporation; or
Member or manager of an LLC

There is no statutory requirement that you send notice to the business before you file the resignation with LARA.

Corporations: no fee
Limited liability companies: $5
Expedited processing is available for an additional fee:
  • 24 hours - $100
  • Same day - $200
  • Two hour - $500
  • One hour - $1000

How long will it take the state to process the Michigan resignation of resident agent filing?

Documents are reviewed by LARA in 3-5 business days.
If you need your documents processed more quickly, fill out the Expedited Service Request form for each document.
  • 24 hour review – is completed the following business day
  • Same day review – if you submit by 1 pm, filing is completed that day
  • Two hour review – if you submit by 3 pm, filing is completed within two hours
  • One hour review – if you submit by 4 pm, filing is completed within one hour

How long do you still have to serve as the resident agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?

The resignation is effective when the business appoints a new Michigan resident agent or 30 days after the LARA receives the written notice, whichever happens first. So the resigning resident agent will have to accept process for 30 days, at most.
