How to file a Rhode Island LLC Amendment:
A Rhode Island LLC must be in good standing with the Rhode Island Secretary of State (SOS) to file an amendment. You can file Rhode Island LLC amendments by submitting a paper form or online.
Paper form:
You can amend your Rhode Island LLC by filing Articles of Amendment to Articles of Organization with the Rhode Island SOS. You can download the form on the SOS website. Fill out the amendment form and submit it to SOS by mail or in person. You do not need original signatures on your amendment. Make checks payable to Rhode Island Secretary of State.
Online:
You can also file an amendment online. Visit the SOS Business Services website. You can choose to “File Corporate Forms” and then “File Online by Credit Card.” You will have to enter your SOS Customer Identification Number and PIN to log on. If you do not know your LLCs login information, you can email the SOS at corp_pin@sos.ri.gov to find out. Then you can choose to amend your articles of organization. If you file online, you will need to enter your credit card information.
Can you re-state the initial articles instead of filing an amendment?
You can restate the articles, but they can’t include a new amendment.
The filing fee for restated articles of organization is $50.

Can you change the Rhode Island LLC members or managers on an amendment?
You can file an amendment to change your Rhode Island LLCs members and managers. But since you aren’t required to report changes to your members or managers between annual reports, you don’t have to file an amendment. You can just file an amended annual report (no fee) or you can wait until your next annual report is due.
