How to file a Tennessee Corporation Amendment:

To amend your Tennessee corporation’s charter, file one original form SS-4421, Articles of Amendment to the Charter (For Profit) with the Tennessee Department of State, Division of Business Services (DBS). The DBS corporation amendment form is in your online account when you sign up for registered agent service and is available on the DBS website. You are not required to use the DBS forms; you may choose draft your own articles of amendment. The Department of state accepts checks, cashier’s checks, money orders etc., payable to the “Tennessee Secretary of State.”

Can you re-state the initial articles instead of filing an amendment?

A Tennessee corporation can restate its articles to include a new amendment.  The filing fee for an Amended and Restated Charter is $20.

Are there any specifics you can or can’t include with a Tennessee Corporation amendment?

You can change the name of your Tennessee corporation in section 1 of the Articles of Amendment.

How much does a Tennessee Limited Liability Company amendment cost?

There is a $20 filing fee to amend your Tennessee corporations charter.

How long does it take the state to process a Tennessee Limited Liability Company amendment?

If you mail your documents, they are processed in 3-5 business days.
If you deliver documents in person DBS will process them while you wait.
Tennessee DBS does not offer expedited processing.

How will the Corporation amendment be returned?

Articles of Amendment accepted for filing by the Division of Business Services are marked “Filed” and stamped with the name and title of the Department of State. DBS stores an image of the document and returns the original to the filer.

Can you change the Tennessee Corporation officers or directors on an amendment?

You can’t file an amendment to change your Tennessee corporation officers or directors. You can change your officers or directors on the annual report.

Can you change the Tennessee registered agent on the amendment?

You can change your Tennessee registered agent in section 3 of the articles of amendment.  You can also change your registered agent by submitting a change of agent form or in your corporations annual report.

Can you change the principal office address and/or the mailing address on an Corporation amendment?

You can change your principal address in section 3 of the amendment.  You can’t change your business’s mailing address on the amendment. To change the business’s mailing address, contact the DBS by mail, e-mail, or in person.
