How to file a Texas Corporation Amendment:

Texas has one form for all domestic for-profit businesses. Fill out and file in duplicate Form 424, Certificate of Amendment. You can file it in person, by mail or online at SOSDirect. http://www.sos.state.tx.us/corp/sosda/index.shtml for $1 log in fee. You also can fax your amendment with form 807 with your credit card information.

Can you re-state the initial articles instead of filing an amendment?

No.  Certificate of Formation of a For-Profit Corporation costs twice as much as an amendment.  Your state franchise tax could be unnecessarily complicated also.

Are there any specifics you can or can’t include with a Texas Corporation amendment?

You can change your business name and change your Texas registered agent information. You also can add, alter or delete any specific original articles.

How much does a Texas Corporation amendment cost?

To amend your corporation in Texas, there is a $150 filing fee required.

Expedited service is available for an additional $25.

How long does it take the state to process a Texas Corporation amendment?

Normal Processing: 3-5 working days.
Expedited Processing:  The end of business the following day.

How will the Texas corporation amendment be returned?

The Texas Secretary of State will return your file-stamped duplicate.  If you forget to file a duplicate, they will send you a notice that your amendment has been filed and processed.

Can you change the Texas Corporation officers or directors on an amendment?

Yes.  You are allowed to add, alter or delete any original articles, which include your officers and directors.

Can you change the Texas registered agent on the amendment?

Yes.  Do it in Section 2 of the amendment.

Can you change the principal office address and/or the mailing address on a corporation amendment?

Yes.  Article 2C states your business address in your original formation document. Just check “Alter” in Section 3 and list the new address.
