To make amendments to your Limited Liability Company in Utah, you must provide the completed Articles of Amendment to Articles of Organization form, with the non-refundable processing fee, to the Division of Corporations & Commercial Code by mail, fax or in person. If faxing your articles of amendment, include the Fax Cover Letter.

Can you re-state the initial articles instead of filing an amendment?

No.

Are there any specifics you can or can’t include with a Utah LLC amendment?

You can make changes to the business name, the business character, the management structure and the period of duration.  You can’t change your registered agent or your business address in articles of amendment. Those changes require the Limited Liability Company Registration Information Change Form.

How much does a Utah Limited Liability Company amendment cost?

To amend your LLC in Utah, there is a $37 filing fee required.

Expedited service is available for an additional $75.

How long does it take the state to process a Utah Limited Liability Company amendment?

Normal Processing:  5 to 7 days.
Fax Processing:  5 to 7 days.
In Person Processing:  5 to 7 days.
Expedited Processing:  Not more than 48 hours.

How will the LLC amendment be returned?

Utah Division of Corporations will send an acknowledgement of the processing of your amendments to your registered agent, unless you file the amendment in duplicate and include a prepared return envelope.

Can you change the Utah LLC members or managers on an amendment?

No. You can change your members and/or managers information on the Limited Liability Company Registration Information Change Form for $15 processing fee.

Can you change the Utah registered agent on the amendment?

No. You must file the Limited Liability Company Registration Information Change Form to change your registered agent information.

Can you change the principal office address and/or the mailing address on an LLC amendment?

Change your business address with Utah using the Limited Liability Company Registration Information Change Form, and a $15 filing fee.
