When is the Annual Report Due?

Virginia LLC's and foreign LLC's registered to do business in Virginia must file their annual fees by October 1st of every year. Technically there are no annual reports for LLC's in VA, but you do have an annual $50.00 fee, which is basically an annual report. Virginia calls this a Virginia annual assessment.

Corporations have an annual report due on the anniversary month they initially filed in, by the last day of that month.

What is the cost to file the Virginia annual report?

Corporations have a minimum $25.00 filing fee, but can be way more depending on the amount of shares it is authorized to issue. You'll see the chart on the annual report. LLC's cost $50.00.

Late fees?

LLC's have a $25.00 late fee after October 1st. Corporations have the same statutory penalty.

How do I get notified?

Your annual report will be mailed to your Virginia registered agent. As with everything else in Virginia, if you miss it, or your Virginia registered agent does not get it to you, you'll have to call above and ask for a new one to be mailed to you. Your report will get mailed to your registered agent about 45-75 days prior to the due date.

Who can file Virginia annual reports?

Officers or directors of a VA corporation must sign. Members or Managers of a Virginia LLC must sign.

Are original signatures needed?

Domestic entities do not need original signatures.
Foreign entities have to be originally inked.

Is an original report needed?

Yes, but you don't need the actual original document. You can get an email of it from your registered agent. But if your VA registered agent did not get it to you, you'll have to request a new one to be made and mailed to you.
