When is the Annual Report Due?

There are no annual reports for LLC's in VA, but Virginia LLC's and foreign LLC's registered to do business in Virginia must pay the $50.00 annual registration fee, which is basically an annual report, by the last day of the anniversary month they initially filed in.

Corporations have an annual report as well as the annual registration fee due on the anniversary month they initially filed in, by the last day of that month.

What is the cost to file the Virginia annual report?

Technically, there is no fee for annual reports, but the Virginia annual registration fee is due on the same date as the annual report. Stock corporations have a minimum $100.00 annual registration fee, but the amount depends on the number of shares it is authorized to issue. Non-stock corporations cost $25.00. LLC's must pay a $50.00 annual registration fee.

Late fees?

If annual registration payment is not received by the due date, LLC's have a $25.00 late fee. Stock corporations have a late fee equal to 10% of the annual registration fee or $10, whichever is greater. For non-stock corporations, the late fee is $10.00.

Failure to pay the annual registration fee will ultimately result in cancellation of your company's existence or revocation of it's certificate of authority.

How do I get notified?

Your annual report will be mailed to your Virginia registered agent. As with everything else in Virginia, if you miss it, or your Virginia registered agent does not get it to you, you'll have to call above and ask for a new one to be mailed to you. Your report will get mailed to your registered agent about 45-75 days prior to the due date.

Who can file Virginia annual reports?

Officers or directors of a VA corporation must sign. Members or Managers of a Virginia LLC must sign.

Are original signatures needed?

Domestic entities do not need original signatures.
Foreign entities have to be originally inked.

Is an original report needed?

Yes, but you don't need the actual original document. You can get an email of it from your registered agent. But if your VA registered agent did not get it to you, you'll have to request a new one to be made and mailed to you.
