How to file a Washington Corporation Amendment:

To make amendments to your Washington State Corporation, you must provide the completed Articles of Amendment form and provide them to the Secretary of State by mail, by fax or in person, along with the filing fee.

Can you re-state the initial articles instead of filing an amendment?

Yes; however, there is no form available. If you wish to re-state the initial articles you must provide the original company name and filing date. You will need to review RCW 23B.10.070 to be sure your restated articles are going to be accepted. You may want to call the Secretary of State to see if an amendment or restatement is best for your specific situation.

Are there any specifics you can or can’t include with a Washington Corporation amendment?

A different form is needed to update officers, directors, shareholders/owners, or the principal place of business is required. You will need to contact the Washington Secretary of State office to obtain the appropriate form. (360) 725-0377.

How much does a Washington Corporation amendment cost?

To amend your corporation in Washington, there is a $30 filing fee required.

Can you change the Washington Corporate officers, directors or shareholders on an amendment?

No. You will need to contact the Washington Secretary of State office to obtain the appropriate form to change the officers, directors or shareholders of your corporation.

Can you change the Washington registered agent on the amendment?

No. You may not change your registered agent on the Articles of Amendment form. You will need to provide the completed Statement of Change Registered Agent or Office form, to the Secretary of State by mail, fax or in person.  There is no fee required. 

Can you change the principal office address and/or the mailing address on a corporation amendment?

No. You will need to contact the Washington Secretary of State office to obtain the appropriate form to change the principal office address and/or the mailing address of your corporation.
