How to file a West Virginia Corporation Amendment:
If you want to amend your West Virginia articles of incorporation, file one original West Virginia Articles of Incorporation Profit Amendment. Submit the amendment and the filing fee to the West Virginia Secretary of State, Business Division (SOS). If you want a file stamped copy of the amendment returned to you, submit two originals. You can file by mail, fax, or in person. You can pay filing fees by check, money order, or credit card. If you file in person, you can pay with cash, too. Checks should be payable to “West Virginia Secretary of State.”
Can you re-state the initial articles instead of filing an amendment?
Yes. The corporations board of directors may restate the articles of incorporation at any time. If the restated articles include a new amendment that requires shareholder approval, the provision must be adopted and approved first.
There is no West Virginia form for restated articles. You just file articles of restatement with the SOS. The articles should include the name of the corporation and the text of the restated articles of incorporation. Include a statement that the articles consolidate all amendments into a single document. If the restatement includes a new amendment be sure that it meets all the statutory requirements.
