How to file a West Virginia LLC Amendment:
To amend your West Virginia Limited Liability Company, you would file one original West Virginia Articles of Amendment to Articles of Organization with the West Virginia Secretary of State, Business Division (SOS). You can submit two if you would like SOS to return a file stamped copy to you. You do not have to use the SOS amendment form. You do not have to have original signatures. Forms are available on the SOS website and in your online account when you sign up with Northwest.
Submit the amendment by fax, mail, or in person. You can pay filing fees by check, money order, or credit card. If you file in person, you can pay with cash, too. Checks should be payable to “West Virginia Secretary of State.”
Can you re-state the initial articles instead of filing an amendment?
You can restate your West Virginia LLCs articles of organization. There is no West Virginia SOS form for restating the articles. File a signed document, designated as a restatement in the heading, with the SOS. Include the name of the LLC (and former names if it has any) and the date you filed the articles of organization.
