How to file a Michigan LLC Amendment:

To make amendments to your Michigan limited liability company, file a Certificate of Amendment to the Articles of Organization with the Michigan Department of Licensing and Regulatory Affairs (LARA). Use of LARA forms is optional. Make sure you include the required information if you choose to draft your own documents. You can find the Certificate of Amendment form on the LARA website or in your online account when you sign up for resident agent service with Northwest.  Submit one original for filing. The form can be filed by mail or in person. You can mail in the form with a check or money order for fees. Include the LLC name and identification number on your check or money order. If you walk-in your Certificate of Amendment you may pay with VISA or MasterCard.

Can you re-state the initial articles instead of filing an amendment?

A limited liability company may restate its Articles of Organization. The LLC may also adopt Restated Articles of Organization which include a new amendment.

The filing fee for Restated Articles of Organization is $50.

Are there any specifics you can or can’t include with a Michigan LLC amendment?

Michigan limited liability company can file an amendment to its articles of organization to change its name, purpose, or duration.  The only limitation is that the amended provision would be allowed in the original articles.

A limited liability company can’t change its organizers by amending the Articles of Organization.

How much does a Michigan Limited Liability Company amendment cost?

There is a $25 filing fee to amend your Michigan LLC articles of organization.

Same day – $200
Two hour – $500
One hour – $1000

How long does it take the state to process a Michigan Limited Liability Company amendment?

How will your Michigan LLC amendment be returned?

Upon filing, the document will be stored as an electronic record. The original will be returned by mail to your registered office address, unless you enter a different address in the amendment form.

Can you change the Michigan LLC members or managers on an amendment?

No, you can’t change the members or managers by filing articles of amendment because they are not listed in the Articles of Organization.  Record your Michigan LLC’s members and managers in the operating agreement, which is not filed with LARA.

Can you change the Michigan registered agent on the amendment?

No. If you want to change your Michigan resident agent or the address of the registered office, submit a Certificate of Change of Registered Office/Agent to LARA or just note the change on your annual statement

Can you change the principal office address and/or the mailing address on an LLC amendment?

No, you can’t change the principal address by filing an amendment because LARA doesn’t require the principal address to be included in the articles of organization.
