How to reinstate an Idaho Corporation:

There is no form available online for reinstating your Idaho Corporation. You may reinstate your corporation by calling the Idaho Secretary of State’s office; they will provide you with a Reinstatement Annual Report form and an Application for Reinstatement. You must complete and return them both in duplicate with the filing fee, by mail or in person.

How much will it cost to revive an Idaho Corporation?

To revive your corporation in Idaho, there is a $30 filing fee required. There are no penalties, back fees or interest associated with missed annual reports. Your only expense within the first 10 years would be the $30 reinstatement fee.  After 10 years, you would have to start over with the normal Idaho Incorporation filing fee.

Expedited service is available for an additional $20 fee.

How long does it take the state to process the filing?

Idaho will process your reinstatement in approximately one week. If you request expedited service, your filing will be processed in about one day.

You will receive a confirmation copy of the change by mail. You will also be able to print a copy directly from their website.

How long does your Idaho Corporation have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Idaho Corporation?

In Idaho you can reinstate your domestic business within ten years of dissolution. After ten years, you would have to re-file as a new company with new Articles of Incorporation for $100.

Can you change your Idaho registered agent at the same time on the Idaho reinstatement?

Yes, place the name of the new registered agent in block 3 of the Reinstatement Annual Report.

Can you change your principal address at the same time on the Idaho reinstatement form?

Yes, correct the address in block 1 of the Reinstatement Annual Report.

Can you change your officers and directors at the same time on the Idaho reinstatement form?

Yes, you may change your officers in block 4 of the Reinstatement Annual Report.

How many annual reports can you miss before you can’t revive your Idaho Corporation?

You can miss up to ten annual reports before you can no longer revive your Idaho Corporation. If you wish to resurrect your Idaho Corporation more than ten years after your dissolution date, you must re-file as a brand new company.
