How to resign as registered agent or clerk in District of Columbia:

To resign as the registered agent for a DC business entity, file Form RA-6, Statement of Registered Agent's Resignation with the District of Columbia Department of Consumer & Regulatory Affairs, Corporations Division (DCRA). The statement of resignation is included in the DCRA Registered Agent Combined Form. Forms can be downloaded on the DCRA website (see link below). The DCRA won't accept handwritten documents. The registered agent will have to mail or deliver a copy of the statement of resignation to the business entity first, and file two copies with the DCRA ten days later.

Do you have to notify the District of Columbia entity you're serving as registered agent for before you resign or after?

The registered agent has to mail or deliver a copy of the statement of resignation to the corporation or LLC at its last known registered office address in Washington DC. If the last known principal address is different, the registered agent must send a copy there as well. The registered agent will file two copies of the statement with the DCRA ten days later. The DCRA will return a file stamped copy of the statement to the registered agent and send a copy to the entity.

Is there a fee to resign as the District of Columbia registered agent for a corporation, LLC, or other business entity

There is no fee to resign as a registered agent in the District of Columbia.

How long will it take the DCRA to process the District of Columbia resignation of registered agent filing?

Mailed documents can take several days to reach the DCRA since mail is routed through Maryland for payment processing first. You can overnight or personally deliver documents to cut out mail time.

You really wouldn't need to have the document expedited, since the resignation is effective on the 31st day after the DCRA receives the statement, or when the Washington DC corporation or LLC appoints a new Washington DC registered agent, whichever happens first. On the 31st day, the Washington DC registered agent is no longer obligated to accept service of process for the corporation or LLC.
