How to resign as registered agent in Washington:

To resign as registered agent in Washington State, you must provide in duplicate a Statement of Resignation to the Secretary of State in the form of a business letter, by mail with the filing fee. The Washington Secretary of State does not provide a form for resignation of registered agent. The statement must include the name of the corporation as well as the name of the resigning registered agent. After filing the Statement of Resignation with the Secretary of State, they will mail a copy to the corporation at its principal office address.

Expedited service by fax or mail is available for an additional $50 fee. You must write “EXPEDITE” on the outside of your envelope if filing by mail.

Resignation letters submitted to the Secretary of State will be handled like all filings and processed in approximately one month unless you expedite the resignation, then it will be processed in four or five business days.

How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?

A registered agent resignation takes effect 31 days after the statement of resignation is processed. This is according to the Washington Business Corporation Act. So if you don’t expedite the resignation letter, you will still be acting as registered agent for approximately two months because of the long handling time of filed documents at the Washington Secretary of State Office.

If a company is administratively dissolved, it does not terminate the authority of its registered agent, unless a Statement of Resignation of Registered Agent form is filed.
