How to file your Iowa Business Services Division Biennial Report:

You can file your Iowa Biennial report online or by the form they mail you every other year. The report will be mailed to your Iowa registered agent. You can't find the reports on the Iowa Secretary of State website, so it's important to have an Iowa registered agent that you can trust to get these reports forwarded on to you. If you file online, there is a code on the report reminder that's mailed to your Iowa registered agent that you'll need to complete the filing. You can call the Iowa Secretary of State and have new forms mailed out to you, or they can give you the code over the phone so you can make your filing online.

When is the Iowa Annual Report due?

Iowa LLC's and Iowa corporations file Biennial reports. For corporations, biennial reports are due every even year, by April 1st. If you filed your corporation January 15th, 2010, your first report will be due April 1st, 2012. If you file your corporation December 15th, 2011, your first report will be due April 1st, 2012.

LLCs and Iowa entites such as Non-profits, LP's, LLP's and Co-op's are all due by April 1st, but on the odd years.

What is the cost to file the Iowa Biennial Report?

Iowa LLC's and Iowa corporations cost $45.00 on paper and $30.00 online to make the filing.

Late fees?

No monetary penalties for being late, but possible fees for reinstatement.

Credit card online or check by mail.

How do I get notified?

The reports will be mailed to your Iowa registered agent the first week of January if they are due that year.
