Late Fees: Minnesota doesn’t charge late fees for failing to file an annual report; however, your business will be administratively dissolved or revoked. |
Filing Your Minnesota Annual Report
Your Minnesota Annual Report can be filed online, in person, or by mail.
To file online, head to the Minnesota Secretary of State website.
- Hover over the Business & Liens tab, and click the Business Filings Online link
- Search for your business name and select it from the results
- Click the File Amendment/Renewal button at the top of the page
- If you don’t already have an account, you’ll need to create one by clicking Create Online Account
- Once you’re successfully logged in, you can choose between uploading a PDF of your annual report OR completing the report using their system

Annual Report Required Info
Here is all the information you’ll need to complete your annual report.
- Business file number. Don’t know your business file number? You can easily find it by searching the Minnesota Business Database
- Name of business. Foreign entities must include any alternate business names, if applicable*
- State in which you initially formed your company
- Principal business address
- Registered agent name and address. If your registered agent is NOT an individual, you will be required to list someone the state can contact regarding service of process*
- Names and addresses of CEO, corporate president, or manager/individual with chief manager power
- Email address for official state notices
- Name and phone number of person the state may contact regarding your annual report filing
*If you need to update/change your business name or registered agent information, you will need to file an amendment with your annual report. In addition, you’ll need to include a $35 filing fee.
Online filings can be paid with a credit card. In-person or mailed submissions must include a check or money order.

Nope. New businesses don’t need to file initial reports in Minnesota.
Are there late fees or penalties if I don’t file my Minnesota Annual Report?
You won’t be charged a late fee for failing to file a Minnesota Annual Report. But, if you miss the December 31 deadline, your business will be administratively dissolved. Minnesota doesn’t have a set date for administrative dissolution – the grace period changes from year to year.
How long does Minnesota Annual Report processing take?
Online and in-person filings will be processed immediately. Mailed filings will be processed in 4-7 business days.
Who is authorized to file a Minnesota Annual Report?
After starting a business in Minnesota, any person who is affiliated with your business can file the Minnesota Annual Report.
