To reinstate your LLC in Colorado, you submit online the completed Articles of Reinstatement. This form is for domestic LLCs only. A foreign limited liability company that has withdrawn its authority to do business in Colorado needs to file online the Statement of Foreign Entity Authority. Domestic LLCs that have voluntarily dissolved may file new Articles of Organization for half the price of the Articles of Reinstatement; however, you would appear as a new company. Articles of Reinstatement allows a business to appear as if continually in good standing, which is practical for maintaining tax or employer information with other Colorado agencies. How long does it take the state to process the filing?

Your Articles of Reinstatement are processed in real time and you appear on the Secretary of State’s Website as “Good Standing” immediately after submitting.

How long does your Colorado LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Colorado LLC?

A dissolved Colorado Limited Liability Company may file a reinstatement at any time. There is no time period where you would be required to file new Articles of Organization. You may have to resume business with an assumed name if your company name has been taken.
