INFO ON HOW TO INCORPORATE IN SOUTH DAKOTA, OR REGISTER YOUR OUT OF STATE BUSINESS:

Filings in South Dakota require original inked signatures. Your South Dakota Registered Agent will need to sign your filing, and it will need to be an original signature. You can either prepare the filing on your own, and mail to us, with a check already made out to the South Dakota Secretary of State, and then we will sign and forward on, or we can sign the correct form for you to finish, and send in with a check payment to the state.

There is no fax filing option and no online option to file. Domestic entities cost $125.00 to file, and out of state entities wishing to qualify their business in the state have a huge $550.00 filing fee. Sometimes, we have helped our clients set up a separate domestic entity to avoid the huge extra filing fee. If you do this, you will have a totally separate new company based out of South Dakota in addition to your home state company. If you qualify your out of state entity you need a certificate of good standing from your home state dated within 90 days. It does not have to be an original certificate. Upon completion you will get the certificate mailed back to the address on the envelope you mail it in from.

Annual reports come to your South Dakota registered agent if it's a domestic company. Foreign entities get them mailed to your corporate headquarters. Corporations cost $30.00 on an annual basis, and LLC's cost $50.00 to file the annual report.

It costs $10.00 to change your South Dakota registered agent. We will prepare and file the correct change of agent paperwork for you if you would like to switch to our services.
