To make amendments to your limited liability company in Texas, you provide in duplicate the completed Form 424, Certificate of Amendment by mail, in person or by fax with form 807 for credit card information.  Even that fax cover sheet form is in your online account once you sign up for Northwest on our Website.

Can you re-state the initial articles instead of filing an amendment?

No.  It would be twice as expensive to file a certificate of formation-LLC, not to mention it could confuse the Comptroller’s office.  All LLCs are subject to state franchise tax and the Comptroller will receive copies from the secretary of state of all business formations. File an amendment and save the $ and the headache.

Are there any specifics you can or can’t include with a Texas LLC amendment?

You can change your business name and change your Texas registered agent information. You also can add, alter or delete specific original provisions.

How much does a Texas Limited Liability Company amendment cost?

To amend your LLC in Texas, there is a $150 filing fee required.  If you are a nonprofit corporation or a cooperative association the fee is $25.

Expedited service is available for an additional $25.  You include a cover letter requesting the expedited service with certificate of amendment.

How long does it take the state to process a Texas Limited Liability Company amendment?

Normal Processing: 3-5 working days, plus additional time for return mailing.
Expedited Processing:  by the end of the following work day.

How will the LLC amendment be returned?

The secretary of state will return your file-stamped duplicate copy.

Can you change the Texas LLC members or managers on an amendment?

Yes, section 3 is for you to make additions, alteration and deletion from your original provisions..

Can you change the Texas registered agent on the amendment?

Yes.

Can you change the principal office address and/or the mailing address on an LLC amendment?

Yes.  In section 3 of the certificate of amendment you would check "alter" and state your new address.
