How to reinstate a District of Columbia Limited Liability Company:

If your Washington DC registration was forfeited and you would like to reinstate your domestic LLC, you will have to file Form GN-5, Reinstatement of Domestic Filing Entity with the District of Columbia Department of Consumer & Regulatory Affairs (DCRA). The Washington DC LLC application for reinstatement is available immediately in your online account when you sign up for registered agent service with Northwest. You can type right on the form. LLC filings are not required to have original signatures. In order to reinstate the LLC, you will be required to submit all your past due reports and fees as well as any fees and penalties that would have been due while the entity was dissolved. You can submit the necessary reinstatement documents and fees to the DCRA in person or by mail. For expedited processing, include Form EX-1, Expedited Service Action.

You can pay the filing fee with cash, money order, check, or Visa/MasterCard. Make checks payable to "D.C. Treasurer."

Do you need an Office of Tax and Revenue tax clearance?

No. You do not need to get clearance from the Office of Tax and Revenue to reinstate a Washington DC LLC.

How much will it cost to revive a District of Columbia LLC?

Application for reinstatement: $300
Biennial (2-year) reports: may vary
Biennial (2-year) report late fee: $100 each

You can have the document processed within one day if you pay a $100 expedite fee.
You can pay an additional $50 to have the form processed in three days.

How long does it take the DCRA to process the filing?

The DCRA processes documents within 15 business days after they are received. Mailed documents can take awhile to get there since DCRA mail is routed through Maryland for payment processing first. You can overnight documents but there would be no difference in processing time.

If you include an Expedited Service Action Form, you can have your document filed within one day or within three days.

If you personally deliver documents, you have to pay for expedited service. You can pay $50 for three day processing or $100 for same day processing and the DCRA will process them while you wait.

How long does your District of Columbia LLC have to be inactive with the DCRA before you wouldn't have any fees, and would just have to start over with a new District of Columbia LLC?

You can apply for reinstatement of your Washington DC LLC at any time.

If you want to avoid all the fees related to reinstating the LLC and just start over with a new Washington DC business entity, you can. But you can't use the name of the old LLC if it is in revoked status with the DCRA.

Can you change your District of Columbia registered agent at the same time on the District of Columbia reinstatement?

No. You can't list a new registered agent. You have to list the registered agent at the time the LLC was revoked on the reinstatement form.

Can you change your principal address at the same time on the District of Columbia reinstatement form?

No. The reinstatement form doesn't have a line for your Washington DC LLCs principal address.

Can you change your members and/or managers at the same time on the District of Columbia reinstatement form?

No. You can't change the Washington DC LLCs members or managers on the reinstatement form.

What if my LLCs name is taken when I apply for reinstatement?

The LLCs name is protected until the end of the year it is administratively dissolved (December 31st). After that, it can be taken by another business entity. If your Washington DC LLCs name is available when you apply for reinstatement, you have to reinstate under that name. If that name is taken, then you can change your LLCs name on the reinstatement form.

How many biennial reports can you miss before you can't revive your District of Columbia LLC?

There is no time limit on reinstating a Washington DC LLC. You can reinstate any time, no matter how many biennial/2-year reports you may have missed. Keep in mind that your fees and penalties add up while you are administratively dissolved.

What District of Columbia agency do you have to reinstate with?

You can submit your application for reinstatement to the District of Columbia Department of Consumer and Regulatory Affairs, Corporations Division by mail or in person.
