To make amendments to the organization of your limited liability company in South Dakota, you submit the completed Application for Amended Articles of Organization form to the Secretary of State by mail or in person, in duplicate and with the filing fee.

Can you re-state the initial articles instead of filing an amendment?

No. South Dakota only allows changes to an LLC’s organization with the application for amendment.

Are there any specifics you can or can’t include with a South Dakota LLC amendment?

A South Dakota Limited Liability Company may amend any article of organization that has been approved by the management including a company name change, except only a change of registered agent. That should be done with the Statement of Change of Registered Agent form.

How much does a South Dakota Limited Liability Company amendment cost?

To amend your LLC’s articles of organization in South Dakota, there is a $60 filing fee.

How long does it take the state to process a South Dakota Limited Liability Company amendment?

Regular processing:  Two days.
Expedited processing:  One day.

How will the LLC amendment be returned?

The duplicate application will be returned by mail from the South Dakota Secretary of State. If you request it and pay an additional $5, they will return it by fax.

If you decide to change your South Dakota registered agent at the time that other articles of organization require amending, then you may do so with the filing of the amendment.

You may amend any original article including your office address.
