This service is provided through our Montgomery AL office by Northwest Registered Agent, LLC. for $125.00 a year or we'll match any other Alabama Registered Agents' price if you'll use our services for more than one year.As your Alabama registered agent, we will help you stay in compliance with the Alabama Secretary of State.
THINGS YOU SHOULD KNOW ABOUT INCORPORATING IN ALABAMA:
If you are filing a domestic Alabama Corporation, you will need to do a name reservation over the phone with the Alabama Secretary of State. You can find their info on our 50 state information page. They will mail you verification within 3 business days. If your name isn't approved, they will call you. You then have to file your articles at the county probate court of your registered office, your registered agent, or your resident agent. Then you also need to file your articles with the Alabama Secretary of State for another $40.00.A Domestic Alabama LLC does not have to do the name reservation, but still needs to file with the AL SOS for $40.00 and the county probate court of the registered agent or registered office. Since our office is in Montgomery, you would file in Montgomery County.
A Foreign corporation doesn't have to do any of the county filings, but gets a steeper filing fee of $175.00
A Foreign LLC costs $75.00 to file, and also does not have to file at the county level.
To qualify an out of state entity in Alabama you will need to get a certified copy of your initial articles of incorporation(for corporations) or articles of organization(for LLC's) as well as any amendments that you may have made over the years. No certificate of good standing is required to qualify your entity in Alabama.
You only have one option of filing. You have to mail it in, with a check for payment of fees. You signatures need to be original inked signatures. You cannot fax file or e-mail file.
Upon completion of your filing, you will receive verification mailed to the return address of your envelope or a cover letter you include. You will also get a packet from the department of revenue.
There are annual reports due for corporations by March 17th each year. They cost $10.00 and they are called the AL-CAR. You file these at the same time you file your Business Privilege tax return with the Department of Revenue.
C corporations file the CPT and S corporations file the PPT with the Alabama Department of Revenue by every March 17th.
LLC's are pass through entities and must file the PPT with the Alabama Department of Revenue by April 15th each year. LLC's have no annual reports with the Alabama secretary of state.
EVERY entity, regardless of what you are, has to file an initial business privilege return within 2.5 months of registering your business with the secretary of state.
