How to file an Arizona LLC Amendment:

You will need to file FormLL-0022, Articles of Amendment with the Arizona Corporation Commission (ACC) by mail, fax, or in person. Include the Arizona Corporation filing cover sheet. Both are available online (see link below) or in your online account when you sign up with Northwest.

Publication is required within 60 days of the approval to amend your domestic LLC. Publication is not required if the amendment concerns only the name/address of member(s), the business’s address, or the name/address of the statutory agent.

Can you re-state the initial articles instead of filing an amendment?

An Arizona LLC may restate the Articles of Organization.  

Are there any specifics you can or can’t include with an Arizona LLC amendment?

Since Arizona does not require LLCs to file annual reports, address changes or agent appointments may be done by amendment or on the LLC Statement Address Change and Statement of Statutory Agent Change form. Adding or removing members/managers must be done on the LLC Articles of Amendment form.

How much does an Arizona Limited Liability Company amendment cost?

Filing the amendment costs $25. For expedited processing, there is an additional $35 filing fee.

How long does it take the state to process an Arizona Limited Liability Company amendment?

Normal processing takes 20 business days.  Expedited processing takes about 3 business days.

How will the LLC amendment be returned?

The amendment can be returned by mail, fax, or pick-up.  Remember, there may be additional time needed to call customers, fax, or mail the documents.

Can you change the Arizona LLC members or managers on an amendment?

You must file the Articles of Amendment to change the name or address of members or manager or to add or remove members and managers. There are different forms for Domestic and Foreign LLCs. The forms, LL: 0022 Articles of Amendment of Domestic Limited Liability Company and LL: 0002 Articles of Amendment of Foreign Limited Liability Company are available online (see link below).

Can you change the Arizona statutory agent on the amendment?

You can change your Arizona statutory agent by filing an amendment.  Arizona also has a separate form online for changing your statutory agent.  Fill out and file Form LL: 0006, Limited Liability Company Statement of Address Change and Statement of Statutory Agent Change. The form is available online (see below) and is in your account when you sign up for statutory agent service.
There is a $5 filing fee.

Can you change the principal office address and/or the mailing address on an LLC amendment?

You can change your principal address by filing an amendment. Arizona also has a separate form online for changing the office or mailing address of your LLC or statutory agent. Fill out and file Form LL: 0006, Limited Liability Company Statement of Address Change and Statement of Statutory Agent Change. The form is available online (see below) and is in your account when you sign up for statutory agent service. There is a $5 filing fee.
