How to make a shareholder resolution

A shareholder resolution is a stockholder decision made outside of the annual shareholder meeting.

A shareholder resolution may be needed to make an amendment to the articles of incorporation, corporate bylaws, or any other corporate documents.

A shareholder resolution may be used to change the directors of the corporation.

A shareholder resolution may be adopted to sell shares, issue more shares, or buy shares.

Basically any important decision should have a stockholder resolution documenting it.
