Certificate of Stock

Stock certificates are the physical written certificate showing the issuance of shares of stock in the corporation. When a corporation is formed, the Articles of Incorporation authorize a certain amount of shares of stock. Then, the corporation issues some or all of those shares of stock to the shareholders to fund the corporation. The shares issued to individual shareholders can be formally documented on a Certificate of Stock. We offer a free template for corporate stock certificates.

  • Your corporation’s name

  • The state of incorporation

  • The total number of the corporation’s authorized shares

  • The par value of authorized shares

  • Name of the shareholder holding the certificate

  • The number of shares the stock certificate represents

  • The type of stock the stock certificate represents

  • A statement that the shares are non-assessable and fully paid

  • Signatures of the corporation’s president, secretary and treasurer

  • Sale signatures and notes (if applicable) with share chain of ownership
