Pros

  • The laws of Delaware are famous for big companies.
  • Because of 30 years of effective marketing, there is a certain level of legitimacy to a Delaware corporation or Delaware LLC.  Many people find it easier to sell their business if it is a Delaware company, because many times the buyers would want to convert it to a Delaware company anyway.
  • We can get same day filings done if you want to pay the states expedite fees.
  • You can form Delaware LLCs anonymously.
  • Corporations don’t show the officer and director information on the Delaware State website.

Cons

  • The Delaware Division of Corporations is more of a business that supports most of the states’ economy to make up for having no sales tax.  Because of this, EVERYTHING comes with a high fee.
  • You can’t even see if a company is active on the Delaware website.  Delaware markets itself as the most business friendly, but it is only one of two states that do not show if a company is active.  Hypocrisy!
  • Delaware actually taxes the death out of businesses that truly operate in Delaware.  Quarterly corporate tax, personal income tax, business license taxes, and really high annual report fees.  If you’re going to actually run a business in Delaware it is one of the worst states in America to do so.  The entire structure has been developed to make it cheap for holding companies that will never operate in Delaware.  The businesses actually doing business in Delaware suffer.
  • No online filing for the general public.
