You will be able to print your Certificate of Authority if filing online. Otherwise, the documents will be mailed to you.

What forms do I file with New Jersey to qualify my out of State Corporation?

If filing by mail or fax the Registration Application, the Public Records Filing in duplicate, a Certificate of Good Standing or Existence, transmittal letter or service request sheet, and filing fee is required. Depending on the type of filing or type of business you are registering additional forms may be required.

To file online, you will go to www.nj.gov/njbgs and click on "online services" then choose the 1st option that says "register a business". Once you complete step 1 and pay the $125.00 fee, you will receive a Certificate of Authority. You will want to be sure to print this Certificate of Authority at this time, otherwise additional copies will require a fee. The Certificate of Authority will have a 10-digit ID number that you will need to complete step 2. The Certificate of Good Standing or Existence will need to be faxed in before filing can be completed. Processing will take approximately 48 hours if you fax your Certificate of Good Standing right away.

A Certificate of Good Standing or Existence is required.

How current does the certificate need to be?

The Certificate cannot be more than 30 days old.

Will I need an New Jersey registered agent for my corporation?
