How to file a North Carolina Corporation Amendment:

To amend your North Carolina articles of incorporation, you just need to submit form B-02, Articles of Amendment, Business Corporation to the North Carolina Secretary of State, Corporations Division (SOS) by mail, in person, or online.  A Coversheet for Corporate Filings is required for over the counter filings. You should always include one though, because this is how you can choose expedited processing and your method of return. North Carolina corporate amendment forms are in your online account when you sign up for registered agent service with Northwest. Forms are also available on the North Carolina SOS website (see link below). You do not have to file the SOS amendment form. You are allowed to draft your own articles of amendment. You do not need to have original signatures on the articles of amendment. Include payment when you mail or walk in your documents. The SOS accepts cash, certified checks, money orders, business or personal checks with address and telephone number. Please make checks payable to the North Carolina Secretary of State. The SOS does accept credit cards for online filings.

Can you re-state the initial certificate instead of filing an amendment?

Yes. You can just file form B-03, Articles of Restatement for Business Corporation with the North Carolina SOS. If there is a new amendment included, it has to have the required approval. The filing fee for restated articles is only $10, but if the restatement includes a new amendment, the fee is $50.

Are there any specifics you can or can’t include with a North Carolina Corporation amendment?

You can file an amendment to add or change any North Carolina corporation information that is required or permitted to be in the articles. This includes the corporations name and North Carolina registered agent.

How much does a North Carolina Corporation amendment cost?

There is a $50 filing fee to amend the articles of incorporation. Same day processing is available for an additional $200 expedite fee (documents must be received by noon).The North Carolina SOS will process documents within 24 hour for an additional $100 fee (excludes weekends and holidays). If you are only changing basic information (registered agent, principal address, etc.) then it is cheaper to make those changes on the annual report or file the change of agent form.

How long does it take the state to process a North Carolina Corporation amendment?

Online filings are done in 3-5 business days. Regular processing takes North Carolina SOS seven to ten business days. Same day expedited processing is available for documents submitted by noon on business days. There is an additional $200 fee. There is also a 24 hour expedited processing option which costs $100. Obviously, processing times may vary if you submit on a weekend or holiday.

How will the North Carolina Corporation amendment be returned?

The Secretary of State will e-mail a certified copy as soon as the document is filed if you provided an e-mail address on the coversheet. If you did not provide an e-mail address, the certified copy will be sent by regular mail.

Yes. You can amend articles to add or change any information that is required or permitted to be in the articles. North Carolina corporations must list officers on the annual report so you can just changes there.

Can you change the North Carolina registered agent on the amendment?

Yes, you can change your North Carolina registered agent when you file an amendment. You can also change the corporations registered agent when you file the annual report. Remember that when you file the annual report online, you will have to print and submit the form if you make changes to the registered agent information.

Can you change the principal office address and/or the mailing address on an Corporation amendment?

Yes. You can just choose to amend the article containing the principal address. North Carolina corporations must list principal office information (physical and mailing address) on the annual report.
