Reinstate Or Revive An Oregon Corporation:

To reinstate your Oregon corporation, you use the Business Registry Web Renewal page on the Secretary of State’s Website to generate and print the forms required to reinstate your business.  You enter your registry number on the form to see if you are eligible to reinstate.  You can find you registry number with a name search on the Secretary’s Website if you have lost it.  You must file new Oregon Articles of Incorporation if you had been administratively dissolved for more than five years.  You will also see if your business name is still available. If it is not, change the name in the corresponding article. When you complete the form, you print it out and mail it or deliver in person to the Secretary of State Corporation Division. Original signature is NOT required.

Before the five years is up you can start over with a new Oregon Articles of Incorporation if you want to save the price of the overdue annual reports; however, you will be registered as a new business and you will lose your business history.

How much will it cost to revive my Oregon Corporation?

The fee to revive your corporation in Oregon is $100, plus $100 for every annual report you missed.  That is the standard fee so there is no delinquent penalty or late fee. If you would like a confirmation copy of your filing from the state, add $5.

How long does it take the state to process the filing?

Normal Processing by Mail: One week. In Person Processing: One day when filing is delivered to the customer service desk. Fax filing:  One week.  Include the Fax Cover Sheet with your credit card info.

How long does your Oregon Corporation have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Oregon Corporation?

When your company is inactive for five years, you must start over with new Oregon Articles of Incorporation, or you could just start over sooner than five years and not pay the back fees.  The drawback to that option is being registered as a new business, which could be unacceptable if you had an established business with a good reputation.

Can you change your Oregon registered agent at the same time on the Oregon reinstatement?

Yes.  When you generate your online form, your old registered agent will be listed and you can correct it electronically or print it out, white out the old agent and write in a new one and send it in.
