How to File a District of Columbia LLC Amendment

Amending your Articles of Organization for a District of Columbia LLC requires filing a Certificate of Amendment with the District of Columbia Department of Consumer and Regulatory Affairs (DCRA). As your Washington DC business grows and evolves, you may need to update your Articles of Organization. Some of these changes can be made by filing the Certificate of Amendment for Domestic Limited Liability Company (Form DLC-2).

When do I need to file the District of Columbia Certificate of Amendment?

An LLC in the District of Columbia files a Certificate of Amendment to update the entity’s name and/or principal/mailing address. However, you can’t change your District of Columbia registered agent or member/manager information by submitting an amendment. These updates must be made when filing your biennial report ($300).

What do I include in the District of Columbia Certificate of Amendment?

To complete the Certificate of Amendment, you’ll need to include the following information.

  • Business name: Provide the full name of your District of Columbia LLC.
  • Date your Articles of Organization were filed: Include the date your Articles of Organization were initially submitted.
  • Amendments: Write all necessary updates. You’ll also need to include the date each change was made effective.
  • Signature: Sign and print the name of the person filing the amendment. This can be a Governor (member/manager) or any authorized individual—someone your LLC permits to act on its behalf.
  • Fees: Include a payment for $220.

How do I file the District of Columbia Certificate of Amendment?

You can submit the DC Certificate of Amendment in person, by mail, or online. However, walk-in filings will automatically be charged an additional $100 same-day processing fee. Paper submissions must be paid with a check or money order made payable to “DC Treasurer.” Online filings can only be paid with a credit card.

To file a DC Certificate of Amendment online, you’ll need to log into your CorpOnline account. If you don’t have one, click “Create an Account.” Once you’re signed in, select “Other Online Services.” Enter your entity’s name in the search box and click “search.” Select your business from the search results and click “DLC-2 Articles of Amendment Web.” Complete the amendment and pay the $220 filing fee.
