What information do I need for the Utah Application for Reinstatement?

To file the Utah reinstatement application, you’ll need to provide your LLC’s name, entity number, your LLC’s new name (if needed), registered agent information, and a statement affirming that you’ve fixed all the problems that led to dissolution. The form must be signed by a member or manager.

Even if you’re not filing online, you need to fill in the application on a computer. The Division of Corporations does not accept handwritten applications.

How do I file the Utah reinstatement application?

You can submit the Utah reinstatement to the Division of Corporations online, by mail, in person, or by fax. Payment options depend on how you plan to file:

Online reinstatement application are typically processed in one business day. Once paper filings are received, they are processed between 7-10 business days.

Can you change your Utah registered agent on the Utah reinstatement?

You can’t use the Application for Reinstatement to change your registered agent. However, you can change your Utah registered agent by attaching the Registration Information Change Form to your Application for Reinstatement. When reinstating, the filing fee for the Registration Information Change Form is waived.

What if my Utah LLC’s name was taken during administrative dissolution?

If another business adopted your Utah LLC’s name while it was dissolved, you’ll have to change your name. You can change your LLC’s name on the Utah Application for Reinstatement.
