How to Reinstate a Wyoming LLC

To revive a Wyoming LLC, you’ll need to file the Reinstatement Form with the Wyoming Secretary of State. You’ll also have to fix the issues that led to your Wyoming LLC’s dissolution. Below, we provide a free, step-by-step guide to reinstating your Wyoming LLC.

Revive Or Reinstate A Wyoming Limited Liability Company

The Wyoming Secretary of State has the power to administratively dissolve or forfeit your LLC if you fail to do any of the following:

  • appoint and maintain a registered agent
  • file annual reports
  • pay any filing fees or penalties

To get your LLC back into business in Wyoming, you can apply for reinstatement. To revive or reinstate your Wyoming LLC, you’ll need to submit the following to the Wyoming Secretary of State:

  • a completed Wyoming Limited Liability Company Application for Reinstatement
  • all delinquent annual reports and filing fees
  • a $60 reinstatement fee plus any penalties

What information do I need for the Wyoming Reinstatement Form?

To file the Wyoming Reinstatement Form, you’ll need to provide your LLC’s name and the date of administrative dissolution. The form also includes a statement attesting that you’ve fixed the problems that led to dissolution. A member, manager, or person authorized to do business on behalf of your Wyoming LLC must sign the form.

You’ll also need to file any delinquent annual reports and, if necessary, file a Statement of Change form to update your registered agent and registered office information.

How do I file the Wyoming Reinstatement Form?

If your Wyoming LLC was forfeited for failing to maintain a registered agent, you can only file the Reinstatement Form by mail.

If your Wyoming LLC was dissolved for failing to file annual reports, you can file the Reinstatement Form online or by paper.

Either way, you’ll need to begin the process online by entering your Filing ID on the Wyoming SOS’s Reinstate page. The system will generate a Reinstatement Checklist listing all the forms you need to complete.

If you choose to print and mail your reinstatement, you’ll send it to the Wyoming Secretary of State with a check or money order made payable to “Wyoming Secretary of State.” Online filings are paid by credit card.

How much will it cost to revive a Wyoming LLC?

The reinstatement fee for a Wyoming LLC is $60. However, you’ll also have to pay to file each late annual report ($60 for LLCs with less than $300,000 in assets). The penalty for failing to appoint and maintain a registered agent is $350.

How long does it take the state to process the Wyoming Reinstatement Form?

It takes Wyoming’s Business Division about 5-7 business days to process the Wyoming Reinstatement. Wyoming doesn’t offer expedited service.

Can you change your Wyoming registered agent on the Wyoming reinstatement?

No. To change your Wyoming registered agent, you’ll need to mail a completed Statement of Change form to the Wyoming SOS.
