How To Resign As An Agent For Service Of Process In California

To resign as a registered agent in California, you must submit a Resignation of Agent for Service of Process form to the California Secretary of State by mail or in-person. The Secretary of State will then notify the company of the agent’s resignation.

There is no fee, and standard processing takes about five business days. Expedited processing is available for filings dropped off in-person for additional fees: $350 for 24-hour filing and $750 for same-day filing.

The Steps To Resign As A California Registered Agent:

  1. To resign, the California registered agent must submit a Resignation of Agent for Service of Process form to the California Secretary of State by mail or in-person.
  2. Then, the California Secretary of State will send notice of the agent’s resignation to the company they had been representing.

The California registered agent’s resignation becomes effective upon filing with the California Secretary of State, Business Entities Filings Unit.

Items To Include On The California Resignation Of Registered Agent

The following items must be on the California registered agent’s statement of resignation:

  1. Name of entity
  2. File number issued to the entity by the California Secretary of State. Include “C” in front of the number for corporations; include only the number for LLCs.
  3. A statement that the agent resigns
  4. Name of registered agent or registered agent corporation
  5. Date
  6. Signature of registered agent

Must The Registered Agent Notify The Company Before Filing Resignation With California?

No. After the Resignation of Agent for Service of Process form has been submitted, the California Secretary of State will notify the company of the agent’s resignation.

Is There A Fee To Resign As A California Registered Agent?

No. There is no fee to resign as a registered agent in California; however, if the filing is done in-person there is a $15 counter drop-off fee, which provides priority service over documents submitted by mail.
