While lack of a registered agent is not a ground for dissolution listed in the state of Massachusetts General Laws, if a company fails for two years to comply with the laws requiring the filing of annual reports, the company can be administratively dissolved. One of the line items on the official Massachusetts Secretary of the Commonwealth annual report form is name and address of registered agent.
