How To Resign As A Registered Agent In Massachusetts

To resign as a registered agent in Massachusetts, you must submit a Statement of Resignation of Resident Agent (LLCs) or a Statement of Resignation of Registered Agent (corporations) to the Massachusetts Secretary of the Commonwealth, Corporations Division by mail, fax, online or in-person. The resignation may also include a statement that the registered office is discontinued. Then, deliver a copy of the resignation to the company from which you are resigning as agent.

There is no fee if filing online; otherwise, the paper filing fee is $25. Documents submitted to the Secretary of the Commonwealth online will be processed immediately, faxed filings will be processed in 1-2 business days and mailed-in filings take 2-4 business days.

The Steps To Resign As A Massachusetts Registered Agent:

  1. To resign, the Massachusetts registered agent must submit a Statement of Resignation of Registered/Resident Agent to the Massachusetts Secretary of the Commonwealth, Corporations Division by mail, fax, online or in-person. Make sure to use the appropriate form depending on entity type and include the appropriate fee depending on filing method ($25 paper filing, online filing is free).
  2. Then, the registered agent must mail a copy of their statement of resignation to the company they had been representing.

The Massachusetts registered agent’s resignation becomes effective on the 31st day after their statement is filed with the Secretary of the Commonwealth.

The following items must be on the Massachusetts registered agent’s resignation:

Must The Registered Agent Notify The Company Before Filing Resignation With Massachusetts?

No. The Massachusetts registered agent must submit their resignation to the Secretary of the Commonwealth first and then send a copy to the company from which they are resigning.

Is There A Fee To Resign As A Massachusetts Registered Agent?

For-Profit Corporations and LLCs: There is no fee to resign online. Paper filings cost $25.

Non-Profit Corporations: There is no fee if resigning online. The fee for paper filings is $10.

Faxed and online filings require an additional expedite fee: $3 if resigning online, $5 if the entity is an LLC or for-profit corporation and chooses to submit a paper filing. Mailed filings can be paid by check or money order. In-person filings can be paid by cash, check or money order. You must pay for faxed filings by credit card (VISA, MasterCard, American Express), debit card or e-check. Make checks payable to “Commonwealth of Massachusetts”.

One of the line items on the official Massachusetts Secretary of the Commonwealth annual report form is name and address of registered agent. So, if you are unable to list a registered agent and properly file an annual report for two years, your company could be administratively dissolved. To change registered agents, file a Statement of Change of Registered Agent/Registered Office and include $25 for processing unless filing online.
