How To Resign As A Registered Agent In Nevada

To resign as a registered agent in Nevada, you must submit a Statement of Resignation of Registered Agent to the Nevada Secretary of State, Commercial Recordings Division by mail, fax or in-person and include the appropriate processing fee depending on how many entities you are resigning from as agent: $100 for the first entity, $1 per entity for additional entities. Make sure to attach the customer order form or the one-hour or two-hour expedite customer order form and, optionally, the epayment checklist if paying by credit card.

Then, promptly provide written notice of your resignation to the company from which you are resigning. Standard processing time for a Nevada registered agent’s resignation is roughly five business days, but service can be expedited for additional fees: 24-hour processing for $25, two-hour processing for $500, one-hour processing for $1,000.

The Steps To Resign As A Nevada Registered Agent:

  1. To resign, the Nevada registered agent must deliver a Statement of Resignation of Registered Agent to the Nevada Secretary of State by mail, fax or in-person.
  2. Include the appropriate processing fee depending on how many entities the agent is resigning from: $100 for the first entity, $1 per entity for additional entities.
  3. Include a customer order form or a one- or two-hour expedite form with your filing.
  4. If paying by credit card, include the epayment checklist form with your filing.
  5. Then, promptly send written notice to the companies you are resigning from.
  6. The registered agent must keep a copy of their resignation from each company they represented for at least one year following resignation.

The Nevada registered agent’s resignation is effective as of the 31st day after the statement of resignation is filed with the Nevada Secretary of State or when a new registered agent is appointed, whichever comes first.

Must The Registered Agent Notify The Company Before Filing Resignation With Nevada?

No. After submitting the Statement of Resignation of Registered Agent to the Nevada Secretary of State, the Nevada registered agent must promptly send written notice of the date that their resignation was filed to the companies they are resigning from.

Is There A Fee To Resign As A Registered Agent In Nevada?

Yes. The fee to resign as a Nevada registered agent is $100 for the first entity and $1 for each additional entity. Payment can be made by check, money order, credit card (VISA, MasterCard, Discover, American Express), trust account or use the remaining balance in a job (must provide job number). If paying by credit card, you must attach the e-payment checklist. Make checks payable to “Nevada Secretary of State”.

No. While many online services are offered by the Nevada Secretary of State, the resignation of a Nevada registered agent is not currently available for online filing.

How Long Does It Take The State To Process A Registered Agent Resignation In Nevada?

Standard filing time for the resignation of a Nevada registered agent is five business days.
