How To Resign As A Resident Agent In Puerto Rico

The Steps To Resign As A Puerto Rico Registered Agent:

1. To resign, the Puerto Rico registered agent must send written notice of their resignation via certified or registered mail to the company/companies from which the agent resigns at its/their designated office, if known, or, if not known, at the last known address of the person who appointed the agent.
2. No more than thirty days later, the agent must submit the Certificate of Resignation of Resident Agent online to the Puerto Rico Department of State, Registry of Corporations and Entities. Use the appropriate form depending on whether a successor agent is being appointed at the same time or not. Make sure to include payment for the filing fee: $80 LLCs; $60 for-profit corporations; $4 non-profit corporations.

The Puerto Rico registered agent’s resignation becomes effective thirty days after the certificate is filed with the Puerto Rico Department of State, Registry of Corporations and Entities or when a new registered agent is appointed, whichever is earlier.

Certificate of Resignation of Resident Agent without Designation of Successor:

1. 1. Registration number
   2. Name of resigning registered agent
   3. Name(s) of company/companies from which the agent resigns
   4. A statement that the agent resigns
   5. Indicate which of the two scenarios occurred regarding notification of the resignation to the company/companies:
      1. Written notice of the agent’s resignation was sent to the company/companies from which the agent resigns by certified or registered mail at its/their designated office, if known, or, if not known, the last known address of the person who appointed the registered agent
      2. At least two separate notices of the agent’s resignation have been sent by first class mail to the company/companies from which the agent resigns at its/their designated office, if known, or, if not known, the last known address of the person who appointed the registered agent, and both notices have been returned as unable to deliver or unclaimed
   6. Name of resigning registered agent
   7. Date
   8. Signature of resigning registered agent
   9. Email
