How To Resign As A Resident Agent In Puerto Rico
To resign as a registered agent in Puerto Rico, you must send written notice of your resignation via certified or registered mail to the company/companies that you had been representing at its/their designated office, if known, or, if not known, at the last known address of the person who appointed you as agent. Then, no more than thirty days later, submit the Certificate of Resignation of Resident Agent online to the Puerto Rico Department of State, Registry of Corporations and Entities. Use the appropriate form depending on whether a successor agent is being appointed at the same time or not. The fee to resign as a Puerto Rico registered agent depends on entity type: $80 LLCs; $60 for-profit corporations; $4 non-profit corporations. The Certificate of Resignation of Resident Agent must be submitted online, and the processing fee must be paid via credit card. - At least two separate notices of the agent’s resignation have been sent by first class mail to the company/companies from which the agent resigns at its/their designated office, if known, or, if not known, the last known address of the person who appointed the registered agent, and both notices have been returned as unable to deliver or unclaimed
