How to Dissolve an Arizona Corporation
How do you dissolve an Arizona Corporation?
To dissolve your Corporation in Arizona, you submit the completed Form CF: 0030 Articles of Dissolution and one exact copy to the Arizona Corporation Commission (ACC) by mail, fax, or in person. The Articles of Dissolution are available online (see link below). They are also in your online account when you sign up for Arizona statutory agent service with Northwest.
Publication is required to dissolve an Arizona corporation. Within 60 days after ACC approval of the Articles of Dissolution, you must publish a copy of the document in a newspaper of general circulation in the county of the known place of business in Arizona for three consecutive publications. A list of newspapers will be enclosed with your approval letter and is also available on the ACC website (see below).

Is there a filing fee to dissolve or cancel an Arizona Corporation?
To dissolve your Arizona corporation the $25 filing fee is required. Expedited processing costs an additional $35.
Do you need a Department of Revenue clearance before the Arizona Department of State will accept your dissolution?
Yes. The dissolution will not be completed without a Certificate of Compliance from the Arizona Department of Revenue. The ACC will not approve your dissolution unless all fees are paid and annual reports have been filed.
How do you obtain a tax clearance certificate in Arizona?
Request the Certificate of Compliance in writing by completing a Tax Clearance Application through the Arizona Department of Revenue. The application is available online (see link below). The Tax Clearance Application is in your account when you sign up for Arizona statutory agent service.

Do not try to fax your application. The Department of Revenue will not accept it.
How long does it take the state to process the filing?
Getting tax clearance from the Arizona Department of Revenue will take about 30 business days.
After you submit your documents to the ACC, normal processing to dissolve a corporation or LLC takes 20 business days.
Expedited processing takes the ACC 4-5 business days.
If you do not specify a person to pick up the documents, they will be mailed to you.
How long before someone can take your business name?
If the corporation has dissolved voluntarily, another entity can use the corporation’s name immediately after the Articles of Dissolution are filed. If your corporation is administratively dissolved, your name is held for six months.
What is the penalty if you just don’t file your annual reports?
If an Arizona corporation does not file its annual reports, a penalty of $9 per month is assessed until the report is filed, payment is made, or until the corporation is administratively dissolved. The ACC may administratively dissolve your Arizona Corporation 60 days after serving notice that you are delinquent.
