To amend your domestic North Dakota Corporation, complete the Corporation Articles of Amendment form and file it with the North Dakota Secretary of State (SOS).

To amend your foreign corporation in North Dakota, complete the Amended Certificate of Authority Foreign Corporation Application. You must submit this form if your corporation changes its name or when statements in the application for Certificate of Authority are no longer correct. If you are changing the name of your corporation, you must include for filing, a Certificate of Fact certified by the government officer of the state where the Articles of Incorporation were filed.

Can you re-state the initial articles instead of filing an amendment?

No. If you want to include an amendment, you would file the amendment and restatement separately.

Are there any specifics you can or can’t include with a North Dakota Corporation amendment?

You can file an amendment and change your North Dakota registered agent on the form, but filing an amendment is not necessary to change your registered agent or the agent’s address.

No, changes to officers or directors should be made on the annual report.

Can you change the North Dakota registered agent on the amendment?
