How to Reinstate an Alabama LLC

To revive an Alabama LLC after voluntary dissolution, you’ll need to file the Domestic LLC Certificate of Reinstatement with the Alabama Secretary of State. The state of Alabama does not currently dissolve LLCs involuntarily. Below, we provide a free, step-by-step guide to reinstating your Alabama LLC.

Revive Or Reinstate An Alabama Limited Liability Company

The Alabama Secretary of State no longer administratively dissolves LLCs, so there’s no process in place for reviving an involuntarily dissolved LLC. However, if you voluntarily dissolved your LLC and you’d like to reinstate it, you’ll need to submit the following to your local county’s Office of the Judge of Probate:

  • a completed Alabama Domestic LLC Certificate of Reinstatement (one original and two copies)
  • a certified copy of your LLC’s original Certificate of Formation
  • your local county filing fee
  • a separate $25 payment for the Alabama Secretary of State filing fee

 

What information do I need for the Alabama LLC Certificate of Reinstatement?

For the Alabama LLC Certificate of Reinstatement, you’ll need to provide:

  • your LLC’s original name
  • your LLC’s Alabama Entity ID Number
  • a new name for your Alabama LLC (if needed)
  • the date you originally formed your Alabama LLC
  • the date you dissolved your Alabama LLC
  • your Alabama registered agent information

The form also includes a statement that your Alabama LLC has met all the legal requirements needed for reinstatement. You’ll also have to include a certified copy of your LLC’s original Certificate of Formation with your LLC Certificate of Reinstatement.

How do I file my Alabama Certificate of Reinstatement?

You can file your Alabama LLC Certificate of Reinstatement by mail or in person. You’ll submit the LLC Certificate of Reinstatement to the Office of the Judge of Probate in the county where Alabama registered office is located.

How much will it cost to revive an Alabama LLC?

The filing fee to reinstate a business in Alabama LLC varies county by county. You’ll need to contact the Office of the Judge in Probate in the county where your LLC’s registered office is located to find out what your specific filing fee will be.

However, businesses in every county will need to include a separate payment of $25 made payable to the Alabama Secretary of State. The Office of the Judge of Probate in your county will forward this payment to the SOS for you. In most counties, it’s easiest to just include a separate check or money order for this payment, but some counties will accept credit card payments (be sure to check first). If you pay by credit card, include the credit card payment sheet attached to the LLC Certificate of Reinstatement.

What if another business adopted my LLC’s name while it was dissolved?

Unfortunately, if another business adopted your LLC’s name, you’ll need to choose another name and include it on your LLC Certificate of Reinstatement. If you don’t, the Alabama SOS will automatically add the word “reinstated” to your LLC’s name to make it distinguishable. If this happens, you can file an amendment to change your LLC’s name once it has been reinstated.

Processing times vary by county. However, the county will forward your LLC Certificate of Reinstatement to the Alabama SOS and they will process it by the end of the following business day.
