How to Reinstate a Kentucky LLC

To revive a Kentucky LLC, you’ll need to file the reinstatement package with the Kentucky Secretary of State. You’ll also have to fix the issues that led to your Kentucky LLC’s dissolution. Below, we provide a free, step-by-step guide to reinstating your Kentucky LLC.

Revive Or Reinstate A Kentucky Limited Liability Company

The Secretary of State has the power to administratively dissolve a Kentucky LLC if it fails to do any of the following:

  • file annual reports for two years
  • appoint or maintain a registered agent
  • properly file paperwork for changes to the registered agent or office

In order to get back into business again, you can apply for reinstatement. To revive or reinstate your Kentucky LLC, you’ll have to submit a reinstatement package to the Kentucky Secretary of State. The reinstatement package must include:

  • a completed Application for Reinstatement
  • a Reinstatement Annual Report
  • a Statement of Change of Principal Office and Registered Office, if needed
  • a letter of good standing from the Kentucky Department of Revenue
  • a $100 reinstatement penalty plus any other filing fees due

What information do I need for the Kentucky Application for Reinstatement?

For the Kentucky Application for Reinstatement, you’ll need to provide your Kentucky LLC’s name, date of administrative dissolution, and a statement affirming that the Kentucky LLC’s name is unique and that it has fixed the issues that led the Secretary of State to dissolve it.

How do I get a letter of good standing from the Kentucky Department of Revenue?

Once you file your Application for Reinstatement, the Kentucky SOS will request a letter of good standing from the Kentucky Department of Revenue on your behalf. This takes between 1-2 days. Once the SOS receives the letter, it will be added to your reinstatement package.

To get a letter of good standing from the Kentucky Department of Revenue, your Kentucky LLC must be current on all taxes or have agreed upon a payment plan with the Kentucky Department of Revenue’s Division of Collections.

How do I file the Kentucky reinstatement package?

You can only submit the Kentucky reinstatement package by mail or in person. You can find the reinstatement package by searching for your LLC on the Kentucky Secretary of State’s online database. There will be an option to download the Reinstatement Package on the upper left -hand corner of your business record. You’ll need to print out and mail or hand deliver the completed forms to the SOS.

How much will it cost to revive a Kentucky LLC?

The filing fee for a Kentucky Application for Reinstatement is $100. You’ll also have to pay a $15 filing fee for each missed annual report. If you need to file a Statement of Change of Principal Office or Registered Agent, you’ll have to pay the $10 filing fee for each.

How long does it take the state to process the Kentucky reinstatement package?

It usually takes the Kentucky Secretary of State 1-2 days to obtain a letter of good standing from the Kentucky Department of Revenue. After that, it takes them an additional 1-3 days to process the reinstatement package.
