To resign as a registered agent in Maryland, you must submit a statement of resignation of resident agent to the Maryland Department of Assessments and Taxation by mail or in-person. Then, mail a copy of your resignation to the company that you had been representing.

There is no fee and no official form to resign as a registered agent in Maryland. Standard processing at the Maryland Secretary of State takes 4-6 weeks, but service can be expedited to seven business days for $50.

The Steps To Resign As A Maryland Registered Agent:

  1. To resign, the Maryland registered agent must deliver a statement of resignation of resident agent to the Maryland Department of Assessments and Taxation, Charter Division by mail or in-person.
  2. Then, the registered agent must send a copy of their statement of resignation to the company they had been representing.

The Maryland resident agent’s resignation becomes effective when it is filed with the Department of Assessments and Taxation if a successor agent is appointed or ten days after it is filed if no successor agent is appointed.

Must The Registered Agent Notify The Company Before Filing Resignation With Maryland?

No. The Maryland resident agent does not have to notify the company before they file their resignation with the Department of Assessments and Taxation, but they do need to send a copy of the resignation to the company within ten days of filing with the state.

Is There A Fee To Resign As A Registered Agent In Maryland?

No. There is no fee to resign as a Maryland resident agent.

Can The Maryland Registered Agent File Their Resignation Online?

No. While many business filings can be completed on Maryland’s Department of Assessments and Taxation website, there is no way to file the resignation of a Maryland registered agent online. The agent’s resignation can be mailed or walked in. Faxed filings are not accepted.

How Long Does It Take The State To Process A Registered Agent Resignation In Maryland?

Standard processing time for the resignation of a Maryland registered agent is 4-6 weeks. Filings can be expedited to seven business days for an additional $50. Walked-in documents receive same-day expedited service if delivered before 4:15pm and require the $50 expedite fee. Walked-in filings can be paid by cash, check, money order or credit card (VISA, MasterCard, Discover, American Express). There is a 3% processing fee for credit card payments. Mailed-in documents can be expedited as well but require that you write “EXPEDITED SERVICE REQUESTED” in bold on both a cover letter and the envelope and also include the $50 fee. Make checks payable to “State Department of Assessments and Taxation”.

If a Maryland company is without a resident agent for thirty days, the company’s charter can be forfeited and it can be administratively dissolved. To change registered agents, the Maryland company must submit a Statement of Change of Principal Office Resident Agent and Resident Agent’s Address with $25 for processing to the Department of Assessments and Taxation.
