How To Resign As A Registered Agent In Minnesota

To resign as a registered agent in Minnesota, you must send a copy of your statement of resignation of registered agent to the company you had been representing at their principal executive office or to a legal representative of the company. Then, submit your statement of resignation to the Minnesota Secretary of State, Business Services Division by mail, fax or in-person and include payment for processing.

There is no official form to resign as a registered agent in Minnesota. In-person filings are processed while-you-wait, and faxed and mailed-in filings are processed in 1-2 business days. The fee to resign depends on method of submission and entity type.

  1. To resign, the Minnesota registered agent must submit a copy of their statement of resignation to the Minnesota company they had been representing.

Must the registered agent notify the company before filing resignation with Minnesota?

Yes. The Minnesota registered agent must first provide written notice of their resignation to the company they had been representing before submitting their statement to the Secretary of State. On the statement sent to the Secretary of State, the Minnesota registered agent must certify that a signed copy of the statement has been given to the business entity at its principal executive office or to a legal representative of the business entity.

Is there a fee to resign as a
registered agent in Minnesota?

Yes. For domestic Minnesota corporations and LLCs, the fee to file by mail is $35 and the fee to file in-person is $55. For foreign Minnesota corporations and LLCs, the fee to file by mail is $50 and the fee to file in-person is $70. Payment may be made by check, money order, cash or credit card (VISA, MasterCard, Discover). Cash and credit card payments are only available in-person. Make checks payable to “Minnesota Secretary of State”.

Can the Minnesota registered agent
file their resignation online?

No. While many business filings can be completed online, the resignation of a Minnesota registered agent can only be submitted by mail, fax or in-person.
