Why Do I Need A Tennessee Registered Agent?

Will You Let Me Know When My Tennessee Annual Report Is Due?

In Tennessee, the Secretary of State sends annual reports to the mailing address you specify. Domestic Tennessee corporations cost $20 if there are no changes and $40 if there are. All other entities cost $300 if there are no changes and $320 if there are. Reports are due April 1st, or the first day of the 4th month after your fiscal year ends. Annual reports for Tennessee LLCs get mailed out at the end of December or beginning of January.

Can I Use Your Tennessee Registered Office Address For Everything On My Business Filing?

Can I Have My Business’s Mail Delivered To Your Tennessee Office?

Do I Hire A Registered Agent Before Or After I Start My Business In Tennessee?

How Do Tennessee Registered Agents Get Served?

Serving a registered agent is legal proof of notification. Whether you receive the documents your Tennessee registered agent signs for or not, once they accept the documents, you’ve legally been notified. This is a serious responsibility and we don’t take it lightly. Here’s how it works:

  • A process server, the county sheriff, or any third party will walk into our Tennessee office and hands us the documents (service of process), then we sign for them.
  • The process server then gives an affidavit (a receipt of service) to the court which states that they “served” us.
  • If you’ve hired us, long before the server hands in their affidavit to the court, you’ve received your documents because we scanned them to your online account within minute of having been served.

  • Foreign corporations have a HUGE filing fee of $600. Sometimes we have helped people create a new domestic
  • Tennessee entity to avoid this monster fee. Foreign corporations need to keep a Tennessee registered agent at all times.
  • Foreign LLCs have the same filing fees as domestics, and all LLCs must keep an active Tennessee registered agent.
  • Filings in Tennessee need to have original inked signatures. You cannot fax the filing in. You can file domestic entities online, but foreign business registrations need to be mailed in. Filings take about 4 days if mailed, and 2 if done online. Your TN registered agent does not need to sign your filing. Completed filings will get mailed back to the address on the envelope you mail with.
