How To Resign As A Registered Agent In Florida

To resign as a registered agent in Florida, you must mail a copy of your statement of Resignation of Registered Agent to the company that you had been representing at its principal office. Then, submit the original copy of the Resignation of Registered Agent, cover sheet and payment for processing to the Florida Department of State.

There are different forms and fees depending on entity type and whether the company you are resigning from is active (LLCs: $85, corporations: $87.50) or inactive (LLCs: $25, corporations: $35). Standard processing time for a mailed-in resignation of a Florida registered agent is 3-5 business days, and walked-in filings are processed while-you-wait.

The Steps To Resign As A Florida Registered Agent:

  1. To resign, the Florida registered agent must mail a copy of their statement of Resignation of Registered Agent to the company they had been representing at its principal office.
  2. Submit the Resignation of Registered Agent and accompanying cover sheet with payment for processing to the Florida Department of State, Division of Corporations by mail, fax or in-person. Make sure to use the appropriate form and include payment for the appropriate fee depending on entity type and whether the company is active or inactive: $85 for active LLCs, $25 for inactive LLCs, $87.50 for active corporations, $35 for inactive corporations.

The Florida registered agent’s resignation becomes effective on the 31st day after the statement is filed with the Florida Department of State or when a statement of change or other record designating a new agent is filed with the Department, whichever comes first. The registered office also terminates at the same time unless specified on the statement.

Items To Include On The Florida Resignation Of Registered Agent

Make sure to complete the appropriate Florida registered agent resignation form depending on whether the registered agent is resigning from a corporation or LLC. Include the following:

  • Cover letter:
    1. Name of entity
    2. Document number
    3. Name of person submitting the document (the registered agent)
    4. Name of the registered agent’s company
    5. Address of registered agent’s company
    6. Phone number for contact
  • Statement of resignation of registered agent:
    1. Name of registered agent
    2. Name of corporation the agent is resigning from
    3. Document number, if known
    4. A statement that the agent resigns
    5. Date
    6. Signature of registered agent
    7. Name of company if the registered agent is signing on behalf of a company

Must The Registered Agent Notify The Company Before Filing Resignation With Florida?

Yes and no. On the statement of Resignation of Registered Agent, the Florida registered agent must certify that they have already mailed a copy of the statement to the company they are resigning from. However, the Florida state statute says that a copy of the statement of resignation can be mailed to the company after filing resignation with the state. To be safe, inform the company before filing resignation with the state.

Is There A Fee To Resign As A Florida Registered Agent?

Yes. The fee to resign as a Florida registered agent depends on entity type and status.

Active corporation: $87.50
Administratively dissolved, voluntarily dissolved or withdrawn corporation: $35
Active LLC: $85
Administratively dissolved, voluntarily dissolved or withdrawn LLC: $25

No. While the Florida Division of Corporations does allow some documents to be filed online, the statement of registered agent resignation does not currently have an online filing option.

How Long Does It Take The State To Process A Florida Resignation Of Registered Agent?

Standard processing of a Florida registered agent’s resignation by mail takes 3-5 business days. (Processing times may be longer during peak periods.) Most walk-in services can be completed while-you-wait. The Florida Department of State does not offer expedited services.

When Does A Florida Registered Agent’s Resignation Become Effective?

The Florida registered agent’s resignation is effective as of the 31st day after the statement is filed with the Florida Department of State or when a statement of change or other record designating a new registered agent is filed with the Department, whichever comes first.

What If The Florida Registered Agent Resigns While The Company Is Still Active?

Corporations and LLCs are required by Florida state law to maintain a registered agent during the life of the company. If a Florida company is without a registered agent, the company cannot maintain any action in a court in the state of Florida until it appoints a new registered agent and pays to the Department of State a penalty of $5 per day for each day it was without a registered agent or $500, whichever is less.
