How to file a California Corporation Amendment:

If you want to amend your California articles of incorporation, you must file a Certificate of Amendment of Articles of Incorporation form with the California Secretary of State (SOS) by mail or in person. Checks should be payable to the Secretary of State. If you drop off documents in person, include separate payment for the special handling fee.

Can you re-state the initial articles instead of filing an amendment?

Yes. If you wish to re-state the initial articles you must submit the Restated Articles of Incorporation form, two copies, and the $30 filing fee to California Secretary of State by mail or in person. The restated articles may include a new amendment.

Are there any specifics you can or can’t include with a California Corporation amendment?

You can change the corporations name by filing an amendment. You can’t change the corporations California registered agent by amending the articles.

How much does a California Corporation amendment cost?

There is a $30 filing fee to amend your corporation in California.

Requests for expedited processing must be submitted in person: $15 special handling fee for in person submissions

$350 additional fee for 24 hour expedited processing $750 additional fee for same day expedited processing

How long does it take the state to process a California Corporation amendment?

Normal processing can take the SOS over eight weeks… You can see current processing times on the California SOS website (see link below).

You can have processing completed the same day or within 24 hours if you pay the additional fee. Documents for same day processing must be submitted by 9:30 for a response by 4:00.

How will the corporation amendment be returned?

If you submit exact copies with your certificate of amendment, the SOS will return two stamped to you at the address you list on the form, free of charge. If you would like more than two copies, submit more copies of the certificate with payment of $8 per additional copy.

Can you change the California Corporation officers or directors on an amendment?

No. To change the corporations officer or director information you must file the Statement of Information form.

If changes occur between filing periods, you can just file a statement of information form to amend the previously filed statement. There is no fee to file an amended statement.

Can you change the California registered agent on the amendment?

You are not able to amend articles to change your registered agent. You will need to provide the completed Statement of Information form, to the Secretary of State by mail or in person.

The filing fee for a corporate Statement of Information is $25. If you file a statement of information to update information outside the reporting period, there is no fee.

Can you change the principal office address and/or the mailing address on a corporation amendment?

No. You will want to use the Statement of Information form to file changes to your office address and/or mailing address.

If changes occur between required statements, you can just file a statement of information form to amend the previously filed statement. There is no fee to file an amended statement.
