What is a Certificate of Incorporation?
A “Certificate of Incorporation” is the actual document that you file with the state governing agency. In many states this document is called the “Articles of Incorporation.” To form a Delaware Benefit Corporation, file your certificate of incorporation with the Delaware Corporation Division.
Upon filing a Certificate of Incorporation, the state returns the certificate with a stamp showing the filing, a filing number, and a date.
