File a Mississippi corporation amendment online with the Secretary of State. You can complete the process and pay online or you have the option of printing the document and submitting it by mail to the Office of the Mississippi Secretary of State (SOS). Include a check payable to the “Secretary of State.”

Can you re-state the initial articles instead of filing an amendment?

Yes, you can restate the articles of incorporation. You may need shareholder approval if the restated articles also include a new amendment. There isn’t a Mississippi SOS form but your articles of restatement should include the name of the MS corporation and the text of the restatement, and a statement indicating that the document consolidates all previous amendments and/or includes a new amendment.

There is a $50 filing fee to restate your Mississippi articles of incorporation.
