Revive Or Reinstate A Nevada Limited Liability Company
To reinstate your LLC in Nevada, you must provide the completed LLC reinstatement packet, downloaded from the Secretary of State site. It is eleven pages of forms and instructions that include: Annual List, Registered Agent Acceptance, Statement of Change of Registered Agent and Customer Order Instructions forms. The registered agent change forms may only relate to your reinstatement if you were cancelled for failure to maintain a registered agent. Deliver your reinstatement documents to the Secretary of State by mail, fax, email or in person. You are required to pay all back fees and penalties including the reinstatement fee.
After five years, you may file a revival. To revive your LLC in Nevada, you must provide the completed Certificate of Revival, annual list (managers/members), Registered Agent Acceptance, Customer Order Instructions forms. Fees for revival are based on the number of years that annual reports or lists have not been filed. How much will it cost to revive a Nevada LLC?
If you wish to reinstate your NV LLC that has been dissolved for failure to file required annual filings, all delinquent annual fees and late penalties must be paid. Limited liability companies pay $125 per year and $75 late penalty for missed annual listings. They also pay $200 per year and $100 late penalty for missed business license filings; as well as a reinstatement fee of $300 is required, if filed within five years. After five years, you can either file a certificate of revival or articles of organization as a new company.

Expedited service within 24 working hours is available for an additional $125 fee. Expedited service within two hours is available for an additional $500 fee. Expedited service in one hour is available for an additional $1,000.
If your LLC was dissolved for failure to maintain a registered agent a Statement of Change of Registered Agent must be included, which costs an additional $60.
How long does it take the state to process the filing?
Your reinstatement will be processed in approximately a week to ten days. You may request one-day, two-hour or one-hour processing also with the appropriate fee.
You will receive a confirmation copy by the type of return service specified on the customer order Instructions form. You will also be able to verify that your document was filed from their website.

In Nevada you can reinstate a business within five years of dissolution. After five years, you may start over and file as a new entity. You may also revive your LLC at any time with the proper forms and fees.
