How To Reinstate A Wyoming Corporation

 

Reinstate Or Revive A Wyoming Corporation:

You will need to go to the Wyoming Secretary of State Website, under the Business tab click on Reinstatements. The link may be found below. You enter your business identification number and it will generate the forms required to reinstate your company. Print them out and submit the completed forms in duplicate to the Secretary of State along with all fees. The forms will be Profit Corporation Application for Certificate of Reinstatement and all back Annual Report forms. If you were involuntarily dissolved for failure to maintain a registered agent, you will also need the Statement of Change by Entity form and a Consent to Appointment by Registered Agent form.

How much will it cost to revive a Wyoming Corporation?

To revive your corporation in Wyoming depends on the reason for your involuntary dissolution. There is a $50 reinstatement fee required for failure to file annual reports. There is a $250 reinstatement fee required for failure to maintain a registered agent. Any delinquent fees and taxes are also required to be paid as part of reinstatement. Each missed annual report will cost $50 minimum unless you have more than $250,000 worth of assets. After two years, you will have to start over as a new corporation.

How long does it take the state to process the filing?

Wyoming corporation reinstatement is processed in approximately one week. The Secretary of State will then mail you a file-stamped Certificate of Reinstatement.

How long does your Wyoming Corporation have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Wyoming Corporation?

A Wyoming entity administratively dissolved may apply to the Secretary of State’s Office for reinstatement within two years after the dissolution date. After two years, you would have to start over as a new entity.

Can you change your Wyoming registered agent at the same time on the Wyoming reinstatement?

No amendments are allowed on the reinstatement. To change your Wyoming registered agent, you must file the Statement of Change by Business Entityand Consent to Appointment by Registered Agent forms.

Can you change your principal address at the same time on the Wyoming reinstatement form?

No, file an Update Form to change your principal business address with the Wyoming Secretary of State. There is no fee required for this filing.

Can you change your officers and directors at the same time on the Wyoming reinstatement form?

No, you will need to submit an Amendment to your Articles to change your officers and/or directors.

How many annual reports can you miss before you can’t revive your Wyoming Corporation?

You can miss two annual reports you can no longer available revive a business. After two years past your dissolution date, you would have to start over by filing new Wyoming Articles of Incorporation.
