How to file a Michigan corporation amendment:

To make amendments to your Michigan corporation, file a Certificate of Amendment to the Articles of Incorporation with the state of Michigan Department of Licensing and Regulatory Affairs (LARA).  The Certificate of Amendment is available on the LARA website or in your online account when you sign up for resident agent service with Northwest. Use of LARA forms is optional. If you want to draft your own documents, be aware of what information is required.

Submit one original amendment for filing. The form can be submitted by mail or in person. If you mail in the form include a check or money order payable to “State of Michigan.” Include your corporations name and identification number on the check or money order. If you walk-in you may pay filing fees with VISA or MasterCard.

Can you re-state the initial articles instead of filing an amendment?

A Michigan corporation may restate the articles of incorporation. It may also adopt a new amendment at the same time by issuing restated articles of incorporation. If the restated articles of incorporation include a new amendment, the amendment must be approved by the shareholders.

Are there any specifics you can or can’t include with a Michigan corporation amendment?

You should amend the Articles of Incorporation to include changes in the corporation’s name or purpose.

LARA does not accept amendments to report changes in a corporation’s resident agent or registered office and the names and addresses of current officers and directors.  You should note those changes in annual report.

How much does a Michigan corporation amendment cost?

There is a base filing fee of $10 for corporate amendments. There are additional fees if you increase the authorized shares of a corporation. The instructions on the amendment form can help you calculate your fees. There are additional fees for expedited processing:

24 hours – $100
Same day – $200
Two hour – $500
One hour – $1000

How long does it take the state to process a Michigan corporation amendment?

Normal Processing is completed in 3-5 business days.

If you need your documents processed more quickly, fill out the Expedited Service Request form for each document.

24 hour review – is completed the following business day
Same day review – if you submit by 1 pm, filing is completed that day
Two hour review – if you submit by 3 pm, filing is completed within two hours
One hour review – if you submit by 4 pm, filing is completed within one hour

How will the Michigan corporation amendment be returned?

Upon filing, the Certificate of Amendment will be stored by LARA as an electronic record. The original will be returned by mail to your registered office address, unless you enter a different address on the amendment form.

Can you change the Michigan corporation officers or directors on an amendment?

Don’t amend articles to change your officers and directors. Make those changes in your annual report.

Can you change the Michigan resident agent on the amendment?

No. Change your Michigan registered agent on the annual report or the Certificate of Change of Registered Office and/or Change of Resident Agent form.

Can you change the principal office address and/or the mailing address on a corporation amendment?

You may amend your Articles of Incorporation to reflect a change to your principal address.
